Q. What happens after I contact you and indicate an interest in getting listed or interest in a specific listed client?
A. If you are not a current client we need to sign you up as a client and list your profile on the website. As part of your sign-up you will pay the appropriate fee and complete our client questionnaire on Form “A”.
Listing your profile on the website is a condition of our service. After all, the whole point of the website is to show interested parties what is available "on both sides of the aisle." Your profile will be written by you, with our help, on Form “B”.
We indicate your interest to the other party by sending an e-mail that points him or her to your profile. It is therefore very important that you allow us to make your profile as meaningful as possible. If the other party indicates that there is a mutual interest then we provide additional information to both parties [information provided by each of you on Form “A”].
The next step is a face-to-face meeting with the other party, and if all parties deem it appropriate and helpful the owner of our firm will participate as an unbiased consulting intermediary. By acting as a buffer our firm can help maintain a professional negotiating climate. We represent both parties with the objective of completing a transaction that is equitable to all participants. (Our direct participation as an intermediary is limited to an area within 150 miles of Portland, Oregon. Arrangements can be made for other locations.)
After that, it is on a case-by-case basis.

Q. What does your service cost?
A. The cost of placing a Transferor profile on this website is $300. The Transferee profile costs $150 to set up. In both cases the subscription period is six months. We anticipate that most engagements will not cost substantially more than the initial set-up fee.

Q. Do you recommend that we get legal advice in preparing the various agreements and letters of understanding?
A. Absolutely! Competent legal advice is an absolute necessity in transactions of this nature. If you are located in Portland, Oregon and you do not have an attorney, we have worked with an affordable small legal firm located in SE Portland, Oregon on a number of client related matters. This firm is familiar with requirements of small professional service firms, sell & buy agreements and other due-diligence issues. To repeat, we believe that affordable legal advice is an absolute necessity in these situations.
